These Terms of Service (“Terms”) apply to your access to and use of the website, funding inquiry forms, appointment scheduling, and related communications (collectively, our “Services”) provided by Maple X Financial (“Maple X Financial,” “we,” “us,” or “our”). By accessing or using our Services, you agree to these Terms. If you do not agree to these Terms, do not access or use our Services.

1. Eligibility

You must be at least 18 years of age to access or use our Services. If you are accessing or using our Services on behalf of a business or other entity, you represent that you are authorized to accept these Terms on that entity’s behalf.

2. Description of Services

Maple X Financial provides information about business funding options and facilitates communication between prospective applicants and our funding partners. Submitting an inquiry through our Services does not guarantee funding approval. Any financing is subject to the underwriting criteria, terms, and approval of the applicable lender or funding partner.

3. Privacy

Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you.

4. SMS and Text Messaging Program Terms

This section applies to SMS and text messages sent through our Services to individuals who have provided their mobile number and consented to receive messages, such as by submitting an opt-in through our website forms. If you opt in to receive such messages, the following terms apply:

Program Description. Maple X Financial’s SMS program sends appointment confirmations, appointment reminders, and updates regarding your funding inquiry or application status.

Opt-Out. You can cancel the SMS service at any time. Text “STOP” to the number from which you received messages. After you send the message “STOP,” we will send you a confirmation SMS that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, sign up as you did the first time and we will start sending SMS messages to you again.

Help. If you are experiencing issues with the messaging program, reply with the keyword “HELP” for more assistance, or contact us directly at (901) 589-5801 or [email protected].

Carrier Liability. Carriers are not liable for delayed or undelivered messages.

Message Frequency and Rates. Message frequency varies depending on your interactions with us. As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have questions about your text or data plan, contact your wireless provider.

Privacy. If you have questions regarding privacy, please read our Privacy Policy.

5. Prohibited Conduct

When you access or use our Services, you will not:

•             Provide false, inaccurate, or misleading information in any funding inquiry or form;

•             Impersonate any person or entity, or misrepresent your affiliation with any person or entity;

•             Access the Services by any means other than through our publicly supported interfaces;

•             Use our Services in any manner that could interfere with, disrupt, or impair their functioning;

•             Attempt to reverse engineer, scrape, or extract data from our Services using automated means;

•             Bypass or circumvent any security or access-control measures on our Services; or

•             Use our Services for any illegal or unauthorized purpose.

6. Compliance with Laws

You represent and warrant that your access to and use of the Services will comply with all applicable laws and regulations. You will not submit information through our Services that you do not have the right to submit, including information about third parties for whom you lack authorization to share such information.

7. Feedback

Any questions, comments, suggestions, or other information you submit to us about Maple X Financial or our Services (“Feedback”) is non-confidential, and we may use it without restriction or compensation to you.

8. Third-Party Content and Services

We may reference or link to third-party websites, lenders, or service providers through our Services. We do not control, endorse, or take responsibility for the content, products, or practices of any third party. Your interactions with any third party, including any funding partner or lender, are solely between you and that third party and may be subject to that party’s own terms and privacy policy.

9. Intellectual Property

Our Services and the text, graphics, images, and other content contained therein (collectively, “Site Content”) are owned by or licensed to Maple X Financial and are protected by United States intellectual property laws. You are granted a limited, nonexclusive, nontransferable, revocable license to access and use our Services and Site Content for your own personal or business informational purposes. You may not copy, reproduce, distribute, modify, or create derivative works from the Site Content, or use it for any commercial purpose, without our prior written permission.

10. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MAPLE X FINANCIAL DOES NOT GUARANTEE FUNDING APPROVAL, SPECIFIC FUNDING AMOUNTS, OR SPECIFIC TERMS FROM ANY LENDER OR FUNDING PARTNER. WE DO NOT REPRESENT OR WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MAPLE X FINANCIAL WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, PUNITIVE, OR SPECIAL DAMAGES, OR LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Maple X Financial and our officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your access to or use of our Services, your violation of these Terms, or your violation of any rights of another person or entity.

13. Dispute Resolution and Governing Law

These Terms and your access to and use of our Services are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or our Services that is not resolved informally will be subject to the exclusive jurisdiction of the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction in those courts.

We reserve the right, without notice and in our sole discretion, to restrict or terminate your access to our Services at any time.

15. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted to our website, and we will update the “Last Updated” date above. Your continued use of our Services after changes are posted constitutes acceptance of those changes.

16. Severability and Miscellaneous

If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity of the remaining provisions. These Terms constitute the entire agreement between you and Maple X Financial relating to your access to and use of our Services. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
